Introduction to DataBrain

This DataBrain Services Agreement ("Agreement") is a legal agreement between DataBrain Inc. ("DataBrain", "us", or "we") and the entity or person ("you", "your", or "user") who registered on the DataBrain signup page to utilize our Retrieval-Augmented Generation (RAG) technology, AI assistant services, and other business solutions offered by DataBrain and its affiliated entities (each, a "Service"). This Agreement outlines the terms of service that govern your usage of the Services. If any aspect of this Agreement is unclear to you, please contact us before commencing use of the Services.

By accessing or using any of our Services, you acknowledge that you have read, understood, and agree to be bound by all terms and conditions outlined in this Agreement, as well as our Privacy Policy and any other documentation referenced herein.

DataBrain provides enterprise-grade AI assistant solutions powered by Retrieval-Augmented Generation technology that connects to your organization's knowledge repositories, databases, and documents to provide accurate, context-aware responses. Our technology is designed to enhance productivity, streamline information access, and enable your organization to leverage AI while maintaining control over your proprietary data.

Throughout your use of DataBrain services, we may collect certain types of data:

  • Usage Data: Information on how you and your team use DataBrain, including features accessed, query patterns, frequency, duration of interactions, and any system performance metrics.
  • Device Information: Technical details about the devices used to access DataBrain, such as device types, operating systems, browsers, and IP addresses.
  • Integration Data: Connection information required to link DataBrain with your authorized data sources and third-party applications.

Account Terms

To access and utilize the Services, you must complete the registration process for a DataBrain account ("Account"). Successful registration requires your full legal name, a valid business email address, and any other information marked as mandatory. DataBrain reserves the right to decline Account applications or terminate existing Accounts at our sole discretion, without the obligation to provide a reason.

You must be of legal age (18 years or older) or meet the age of majority in your jurisdiction, whichever is higher, to open an Account. By using DataBrain services, you affirm that your usage is for business purposes and not intended for personal, household, or familial use.

The email address provided during Account creation will serve as the primary mode of communication between you and DataBrain ("Primary Email Address"). You are responsible for maintaining this email address, and it must be capable of both sending and receiving messages. Communication from your Primary Email Address will be considered authenticated.

You are responsible for maintaining the security and confidentiality of your Account credentials. DataBrain shall not be held liable for any losses or damages arising from your failure to maintain the security of your Account and password. We recommend implementing multi-factor authentication and following security best practices.

Technical support related to the Services is exclusively available to authorized DataBrain Users. Questions regarding this Agreement should be directed to DataBrain Support through your Account portal.

You agree not to reproduce, duplicate, copy, sell, resell, or exploit any part of the Service without explicit written permission from DataBrain. You also agree not to circumvent technical limitations, decompile, disassemble, or reverse engineer the Services. Accessing the Services or monitoring materials using automated means such as robots, spiders, or scrapers is prohibited unless explicitly authorized through our API documentation.

Data Usage & AI Models

DataBrain's Retrieval-Augmented Generation (RAG) technology operates by connecting to your organization's data sources and using this information to enhance AI responses. The following terms govern how your data is used within our system:

Data Ownership: You retain full ownership of all content, documents, and data that you connect to DataBrain ("Your Data"). We do not claim ownership rights to Your Data and will only use it as permitted under this Agreement and our Privacy Policy.

Data Processing: When you connect data sources to DataBrain, our system processes this information to create searchable indexes, embeddings, and knowledge graphs that enable the RAG functionality. This processing is necessary for the Service to function properly.

Model Training: DataBrain does NOT use your proprietary data to train our base AI models. Your Data is only used to customize and enhance responses for your specific instance. We may use anonymized usage patterns and non-proprietary information to improve our services generally, but will never incorporate your confidential information into our core models.

Data Retention: We will maintain Your Data in our systems only as long as necessary to provide the Services. Upon termination of your subscription, or upon your request, we will delete Your Data from our active systems within 30 days, and from our backup systems within 90 days, except as required by law.

Third-Party Integrations: When you connect DataBrain to third-party services (such as CRM systems, document repositories, etc.), you authorize us to access and process data from these services according to the connection permissions you grant. You are responsible for ensuring you have the right to share such data with DataBrain.

Usage Limitations: You agree not to use DataBrain to process or store data that is illegal, harmful, or violates the rights of others. This includes but is not limited to hate speech, discriminatory content, malware, and content that infringes intellectual property rights.

Security & Compliance

DataBrain implements robust security measures to protect your data and ensure compliance with applicable regulations. Our commitment to security includes:

Data Encryption: We employ industry-standard encryption for all data in transit and at rest. This includes TLS 1.2+ for all connections to our services and AES-256 encryption for stored data.

Access Controls: DataBrain implements granular permission systems that allow you to define precisely which users can access specific data sources, assistants, and features. Our role-based access control (RBAC) system enables you to enforce the principle of least privilege.

Compliance Frameworks: DataBrain maintains compliance with SOC 2 Type II, GDPR, CCPA, and other relevant data protection regulations. Enterprise plans may include additional compliance capabilities for HIPAA, FedRAMP, and industry-specific requirements.

Security Audits: We conduct regular security assessments, penetration testing, and vulnerability scanning. Our systems undergo third-party security audits at least annually, and we promptly address any identified issues.

Data Residency: For customers with geographic data storage requirements, Enterprise plans offer regional data processing options to ensure compliance with local regulations.

Breach Notification: In the event of a security breach affecting your data, we will notify you without undue delay and provide information about the nature of the breach, affected data, and steps we are taking to address the situation, in accordance with applicable laws.

Security Responsibilities: While DataBrain implements robust security measures, you are responsible for:

  • Maintaining the security of your account credentials
  • Properly configuring access permissions for your users
  • Ensuring that your connected data sources are properly secured
  • Promptly reporting any suspected security issues or unauthorized access

Subscription Terms

DataBrain offers various subscription plans with different features, limitations, and pricing. The following terms govern your subscription:

Billing Cycles: Subscriptions are billed either monthly or annually, depending on the plan you select. Annual subscriptions are discounted compared to the monthly rate. You will be billed in advance for each billing period.

Free Trials: We may offer free trial periods for certain subscription plans. At the end of the trial period, your account will automatically convert to a paid subscription unless you cancel before the trial expires.

Payment Methods: We accept major credit cards, ACH transfers, and other payment methods as specified in our billing interface. For Enterprise customers, we can arrange custom payment terms and methods.

Usage Limits: Each subscription plan includes specific limits on the number of users, assistants, data connections, and monthly queries. Exceeding these limits may result in additional charges or service limitations. We will notify you if you approach your usage limits.

Price Changes: We reserve the right to change our prices with 30 days' notice. Price changes will apply to your subscription at the next renewal period. If you do not agree with the price changes, you may cancel your subscription before the new prices take effect.

Cancellation: You may cancel your subscription at any time through your account dashboard. If you cancel, you will continue to have access to the Services until the end of your current billing period, but you will not receive a refund for any fees already paid.

Refunds: We do not provide refunds for partial subscription periods or for unused portions of your subscription. However, we may make exceptions in cases of service unavailability or other exceptional circumstances, at our discretion.

Enterprise Agreements: Enterprise customers may negotiate custom subscription terms, including custom pricing, payment terms, SLAs, and usage limits. In such cases, the terms of the Enterprise Agreement will supersede the standard terms described here.
